Medsulto mobile application provided by Limitless Care and its affiliates (referred to collectively as "us," "we" and "our") that are intended for use by physicians, referred to as the "Medsulto Community," including the personalized information and services that meet the needs and interests of users of the Medsulto such as medical updates, reference content, medical tools, sponsored programs, advertising, email communications, as well as market insights and discussion groups (collectively, the "Services"). These Terms do not apply to our properties and services that display a link to different terms of use. In case we extend Medsulto through the acquisition of another company and/or its properties, that company may operate under its terms of use, at which point a link to these Terms will be displayed on its properties. By using the Services, you agree to these Terms, as a registered member of Medsulto Community. These Terms govern your use of Medsulto services and create a binding legal agreement that we may enforce against you in the event of a violation. Please do not proceed with using Medsulto if you do not agree with these terms.

Registering an account on Medsulto

Medsulto is a physician-centric application, registering an account with Medsulto requires providing us with your name, email address, mobile number, specialty, and other information fields in the registration form ("Registration Information"), and select a username and password that will be associated with your account. You agree to provide accurately, updated, and complete, and you will update your Registration Information as necessary to remain accurate. We may attempt to verify the accuracy of your Registration Information and update it as necessary. You are responsible for the confidentiality and security of your Medsulto account username and password, and you may not share them with any other person. You are also responsible for all activity under your account. In case you think the security of your account has been compromised, immediately change your username and password on your account settings or contact us and we will support you. We shall not be held responsible for any unauthorized access to your account information.

Using of Medsulto Services

Medsulto Services are intended only for physicians. By using the Services, you must have the right, authority, and capacity to agree to and abide by these Terms. Medsulto information and services are for educational and informational purposes only, they are not intended for diagnostic purposes, or for recommending a particular product or therapy, and are not by any means a substitute for the clinical judgment of a qualified physician. You are responsible for evaluating the information provided by the Services and for how you use such information in connection with your treatment decisions and goals. You agree that you shall be solely responsible for your compliance with all laws and standards of practicing medicine. We hold the right, at any to limit access of Medsulto Community, the Services, and Medsulto Content to any user, geographic area, or jurisdiction we so desire. Upon agreement with these Terms, you are granted a limited, non-exclusive, non-transferable, and non-sublicensable license to use the Services and to access the materials available through Medsulto, including User-generated Content for your personal and professional use only. All rights are reserved by us and our respective licensors, as applicable. Medsulto may contain links to third-party websites or resources which are not part of the Medsulto Community. You agree that we are not responsible for these resources including, without limitation, their availability or the content and information that they provide. The inclusion in the Medsulto Community of third-party resources, including links to third-party websites, does not imply our endorsement of these resources

You agree that you will not engage in any of the following activities in connection with your use of the Services:

1. Manipulate Medsulto brand identifiers to disguise the origin of any content transmitted through the Services.
2. Use, and display the Medsulto logo, or other brand elements, without the written consent of Medsulto, as applicable.
3. Remove any copyright, or trademark contained within the Medsulto Community or any respective licensors.
4. Infringe or use any of our brands, logos trademarks or other proprietary marks in any business name, email, URL, or another context unless expressly approved in writing by Medsulto, as applicable.
5. Attempt to circumvent any protective technological measure associated with the Services.
6. Attempt to access or search any Medsulto properties or any content contained therein using any engine, software, tool, agent, device or mechanism (including scripts, bots, spiders, scraper, crawlers, data mining tools, or the like) other than through software generally available through web browsers.
7. Post, upload, transmit, or otherwise distribute advertising or spam.
8. Impersonate or misrepresent your affiliation with another person or entity.
9. 9. Collect information about others, including email addresses.
10. Interfere with or disrupt any of the Services or the associated computer or technical delivery systems.
11. Interfere with, or attempt to interfere with, the access of any user, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing a Medsulto Site or a Medsulto App.
12. Fail to respect another user's privacy. This includes revealing another user's password, phone number, address, instant messenger I.D. or address, or any other personally identifiable information; or
13. Use any Medsulto property, the Services, or any Medsulto Content in any manner not permitted by these Terms.

1. Investigate your use of the Medsulto app as we deem appropriate to comply with any applicable law, regulation, government request or legal process.
2. Remove User Content that does not comply with these Terms of Use
3. Terminate your access to the Medsulto community upon our determination that you have violated these Terms of Use; and
4. Edit Medsulto Content.

Information that you Make Available through the Services

You agree that you are fully responsible for all User Content that you submit to the Medsulto community. You represent and warrant that you either are the sole and exclusive owner of all User Content or you have all rights, licenses, consents, and releases that are necessary to grant to us the rights in such User Content as specified in these Terms. You are solely responsible for ensuring that the User Content that you make available through the Services complies with applicable laws including, without limitation, those relating to privacy, and clinical and ethical practices. Prior to submitting any User Content to the Services, you must ensure there is no information that identifies an individual such as name, e-mail address, insurance number, or any other unique identification number, or picture. You agree that you will not use the Services to make available User Content that:

1. you do not have the right to share under agreement or law.
2. violates a third party's patent, copyright, trademark, trade secret, or other intellectual property rights.
3. is illegal, harmful, defamatory, threatening, harassing, abusive, offensive, or embarrassing to any other person.
4. promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group.
5. is false, misleading, or deceptive.
6. includes an advertisement for a product or business.
7. contains viruses or other harmful computer code designed to interrupt, destroy, or limit the use of any computer software or hardware.

Medsulto For you as a physician

Medsulto offers free access to physicians, a personalized newsfeed, and a user experience solely to registered users of the Medsulto community. The service is uniquely tied to the information and interests of registered users. Medsulto uses this information to serve tailored relevant content topics, news, briefings, journal, and magazine article headlines for each registered user based on profession, specialty, and other information provided to us by users. The headlines, active links, and other source identifiers have not been altered, edited, or deleted from original sources, except as permitted by license, are not a substitute for the original source, and are protected by copyright owned by the attributed party. For the full article, users are encouraged to follow the applicable active link to the original website. Medsulto is a medical community, that allows physicians to connect, for sharing knowledge and experience, Physicians may use Medsulto as a discovery tool to find the physicians specialized in treatment of different conditions. By accepting referrals on your profile, users thereby declare that they are open for referrals, and their profiles will appear to other users, when searching for the keywords of specialty, areas of expertise.

Dealing with Third Parties

Business dealings with, or participation in promotions of, advertisers or other third parties through the Services, including requests for and delivery of goods or services, and any other terms, conditions, warranties, or representations associated with such dealings, are directly between you and the third party. You agree that we shall not be responsible for any loss or damage of any sort as the result of any such dealings or as the result of the introduction of such third parties through the Services.

Termination and Modification

• breaches or violations of these Terms or other agreements or guidelines
• requests by law enforcement or other government agencies
• a request by you
• discontinuance or material modification to the Services.

• your engagement in fraudulent or illegal activities.
